By subscribing to or using Convergo’s services (“Services”), you agree to these Terms of Service (“Terms”). If you do not agree, you must not use our Services.

2. Description of Services

Convergo provides AI-powered chatbots, receptionists, and customer support tools to assist businesses in engaging with their customers. Services may include setup, customization, and ongoing support.

3. Eligibility

Our Services are available only to businesses (B2B).

By using our Services, you confirm that you are authorized to act on behalf of your business.

Services are not available to individuals under 18 or for personal/non-business use.

4. Payment Terms

Services are billed on a monthly subscription basis, unless otherwise agreed.

We may also offer one-time fees for specific projects or features.

Free trials may be offered at our discretion.

Refunds are available within 14 days of initial purchase; after that period, refunds are not possible.

Billing cycles are monthly, and payments must be made on time.

5. User Responsibilities

You agree to:

Use Services only for lawful purposes.

Not misuse AI for harmful, abusive, or illegal content.

Not infringe on third-party intellectual property.

Provide accurate and lawful data for integration.

Review and confirm any FAQ or content we prepare on your behalf before it is implemented.

6. Company Rights

We reserve the right to:

Suspend or terminate access for violations of these Terms.

Modify, enhance, or discontinue Services with reasonable notice.

7. Intellectual Property

Convergo retains ownership of its software, platform configurations, and AI outputs.

You retain ownership of the content and data you provide.

If Convergo creates custom input (e.g., FAQs, scripts), such content is owned by Convergo unless otherwise agreed in writing.

You receive a limited, non-transferable license to use Services during your subscription.

8. Service Quality & Limitations

We ensure your AI solution is delivered and functional (“bug-free”) during the active subscription or one-time service agreement.

After expiration or termination, ongoing bug fixes, updates, or extensions will be billed separately.

We are not responsible for misuse of AI by clients or for consequences of how clients deploy AI systems.

9. Termination

You may cancel your subscription at any time.

We may terminate or suspend Services at our discretion if you breach these Terms or misuse the Services.

Upon termination, access to Services ends immediately.

10. Limitation of Liability

To the maximum extent permitted by law, Convergo shall not be liable for indirect, incidental, or consequential damages arising from the use of Services.

Our total liability shall not exceed the fees paid by you in the last 12 months.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Austria.

Any disputes shall be subject to the exclusive jurisdiction of the courts in Austria, unless otherwise required by applicable law.

12. Acceptable Use & Restrictions

You may not use the Services for illegal, harmful, or unethical purposes.

AI may not be used for harassment, discrimination, hate speech, or misleading content.

We reserve the right to restrict usage that we deem abusive or harmful.

13. Changes to Terms

We may update these Terms from time to time. The latest version will always be available on our website with the updated effective date.
